Seller Agreement

This Seller Agreement (the "Agreement") governs the relationship between Mashooque Ali LLC ("SIRR", "we") and any individual or entity ("Seller", "you") that lists products for sale on SIRR Marketplace. By submitting a Seller application or listing a product, you accept this Agreement in full together with the SIRR Terms of Service, Privacy Policy, Refund Policy, and Shipping Policy.

1. Eligibility & Onboarding

  • Sellers must be at least 18 years old and legally able to enter into binding contracts in their country of residence.
  • You must provide accurate legal name, business registration (where applicable), tax identification, banking details for payouts, and a verifiable contact address.
  • SIRR may, at its sole discretion, approve, decline, suspend, or terminate any Seller account. We may re-verify identity or business information at any time.

2. Listings & Content Standards

  • All listing content — titles, descriptions, images, pricing, specifications — must be truthful, original (or lawfully licensed), and free of misleading claims.
  • Product images must accurately represent the item shipped. No stock imagery that materially differs from the actual product.
  • Prohibited items include counterfeit goods; hazardous materials; weapons and munitions; illegal narcotics; live animals; tobacco, alcohol, or vaping products where restricted; adult content; prescription medicines; endangered species; and any item unlawful under the laws of Saudi Arabia, the UAE, Pakistan, or the customer's destination country.
  • Sellers are solely responsible for holding all rights, licences, and clearances required to sell each listed item.

3. Pricing, Taxes & Fees

  • Sellers set list prices in SAR (or a supported currency); SIRR displays prices to buyers inclusive of applicable VAT where required by law.
  • SIRR charges a marketplace commission on the final sale price of each order. The current commission schedule is provided in the Seller Dashboard and may be updated on 30 days' written notice.
  • Sellers are responsible for calculating, collecting (where SIRR does not collect on their behalf), and remitting all taxes owed in their own jurisdiction, including but not limited to VAT, sales tax, and income tax.

4. Fulfilment & Delivery Standards

  • Sellers must dispatch confirmed orders within the handling time stated on the listing (default 2 business days).
  • Every shipment must include a tracking number uploaded to the SIRR order record within 24 hours of dispatch.
  • Sellers are responsible for packaging goods to arrive undamaged. Risk of loss remains with the Seller until the carrier scans delivery.
  • Repeated failures to dispatch on time, missing tracking, or elevated delivery-failure rates may result in listing suspension.

5. Returns, Refunds & Customer Satisfaction

  • SIRR operates a customer-first returns experience. As a baseline, Sellers must honour the 7-day buyer withdrawal right and the damaged/defective/wrong-item terms set out in the Refund Policy. More generous Seller terms are permitted; less generous terms are not.
  • Return shipping costs follow the Refund Policy: SIRR/Seller pays when the return arises from an error or defect on our side; the buyer pays otherwise.
  • Where a Seller does not respond to a refund request within 5 working days, SIRR may mediate, decide the dispute, and — where the outcome is in the buyer's favour — refund the buyer directly and recover from the Seller's pending payouts.

6. Quality, Ratings & Compliance Monitoring

  • SIRR continuously monitors Seller performance across dispatch time, cancellation rate, refund rate, chargeback rate, delivery success, and customer ratings.
  • Sellers below the published quality thresholds may be placed on a performance plan, have listings de-ranked, or be suspended.
  • SIRR may remove any listing that violates this Agreement, the Terms of Service, applicable law, or Google Play / App Store platform policies, without prior notice where necessary to protect buyers.

7. Payouts

  • Buyer payments are held by SIRR's licensed payment processor and released to the Seller after the applicable delivery-confirmation and returns window (typically 7 days after delivery scan).
  • Payouts are net of marketplace commission, refunds, chargebacks, and any offsets described in this Agreement.
  • SIRR may withhold, delay, or reverse a payout where fraud, chargeback risk, or a breach of this Agreement is reasonably suspected, and will notify the Seller of the reason.

8. Intellectual Property

  • Sellers retain ownership of their listing content and grant SIRR a worldwide, royalty-free licence to host, display, translate, resize, and promote that content solely to operate and market the marketplace.
  • Sellers warrant that their listings do not infringe any third-party trademark, copyright, patent, design right, publicity right, or trade secret.
  • SIRR operates a notice-and-takedown process for good-faith IP complaints. Repeat infringers will be permanently removed.

9. Data Protection

Sellers may receive buyer personal data (name, delivery address, contact details) strictly to fulfil the order. That data may not be retained beyond what is necessary, sold, transferred, or used for marketing without the buyer's separate, explicit consent, and must be handled in accordance with the Saudi PDPL, GDPR, and any other applicable data-protection law.

10. Prohibited Conduct

  • No manipulation of reviews, ratings, search ranking, or price signals.
  • No off-platform diversion of transactions initiated on SIRR.
  • No harassment of buyers, other Sellers, or SIRR staff.
  • No creation of duplicate or fraudulent Seller accounts.

11. Suspension & Termination

SIRR may suspend or terminate a Seller account immediately for material breach of this Agreement, unlawful conduct, or serious buyer-safety concerns. Either party may terminate for convenience on 30 days' written notice. On termination, open orders must be fulfilled, and outstanding payouts (net of chargebacks, refunds, and offsets) will be settled within 60 days.

12. Indemnity & Liability

Sellers indemnify SIRR against any claim, loss, or expense arising from their listings, products, tax obligations, or breach of this Agreement. To the maximum extent permitted by law, SIRR's total liability to any Seller in any 12-month period is capped at the marketplace commission SIRR earned from that Seller in the same period.

13. Changes

We may amend this Agreement. Material changes will be notified in the Seller Dashboard and by email at least 14 days before they take effect. Continued use of the marketplace after that date constitutes acceptance.

14. Governing Law

This Agreement is governed by the laws of the State of Wyoming, USA, without prejudice to mandatory consumer or seller-protection rights available under the Seller's local law. Disputes are subject to the exclusive jurisdiction of the state and federal courts of Laramie County, Wyoming.
